Frequently Asked Questions
Can I transfer a pending trademark application?
Yes. Both registered marks and pending applications can be assigned. The assignment must be recorded with the Registry to update the applicant or owner on record.
What is assignment with and without goodwill?
Assignment with goodwill transfers the mark along with the reputation and business associated with it. Assignment without goodwill transfers only the mark itself. The type affects the legal requirements and advertising obligations.
How long does recordation take?
IP India processing times vary. We file promptly and follow up to ensure the register is updated as quickly as possible.

Trademark Assignment in India
A trademark assignment transfers ownership of a registered trademark from the assignor to the assignee. Assignments can be with or without the goodwill of the business. The assignment must be recorded at IP India by filing Form TM-P — an unrecorded assignment is not valid against a third party who subsequently acquires rights in the mark in good faith.
Trademark Licensing in India
A trademark licence authorises a third party — the licensee — to use the registered trademark under conditions set out in the licence agreement. Licences can be exclusive, non-exclusive or sole. A registered user agreement should be recorded at IP India. Proper licence agreements are essential for maintaining quality control over use of the mark — uncontrolled licensing can weaken or invalidate a trademark.
Due Diligence
In mergers, acquisitions and investment transactions, trademark due diligence is essential. We assess the strength, validity and enforceability of trademark assets, identify potential conflicts and vulnerabilities, and advise on the trademark implications of proposed transactions.
Frequently Asked Questions
How do I transfer my trademark to my company?
If a trademark was originally filed in your individual name and you now want to transfer it to your company, a trademark assignment is required. We prepare the assignment agreement and file Form TM-P at IP India to record the change of ownership. The process typically takes 4 to 6 weeks from filing.
Can I assign just some of the classes in my trademark registration?
Yes — a partial assignment is possible. You can assign rights in specific classes or specific goods and services while retaining others. Partial assignments must be carefully structured to avoid confusion in the marketplace.
Do I need a written licence agreement?
A written licence agreement is strongly recommended and is essential for maintaining control over how your trademark is used. Without quality control provisions in the licence agreement, uncontrolled use by the licensee could weaken or invalidate your trademark. We draft licence agreements that protect your position.
Can I sell my trademark?
Yes — a trademark is a commercial asset that can be bought and sold. The sale is effected through a trademark assignment agreement and recorded at IP India. The value of a trademark for sale depends on its distinctiveness, length of use, the goodwill associated with the brand and its registration status.
What is a registered user agreement?
A registered user agreement records a trademark licence at IP India. Recording the licence at the Registry puts third parties on notice of the licence arrangement and provides the licensee with standing to take enforcement action in appropriate circumstances. We advise on whether recordal is appropriate for your licence.
